THESE TERMS REQUIRE THE USE OF ARBITRATION ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES, RATHER THAN JURY TRIALS.
BY PLACING AN ORDER FOR PRODUCTS OR SERVICES FROM THIS MEDSQUARED, LLC WEBSITE, YOU AFFIRM THAT YOU ARE OF LEGAL AGE TO ENTER INTO THIS AGREEMENT, AND YOU ACCEPT AND ARE BOUND BY THESE TERMS AND CONDITIONS. YOU AFFIRM THAT IF YOU PLACE AN ORDER ON BEHALF OF AN ORGANIZATION OR COMPANY, YOU HAVE THE LEGAL AUTHORITY TO BIND ANY SUCH ORGANIZATION OR COMPANY TO THESE TERMS AND CONDITIONS.

This MedSquared Master Services Agreement and your order form (collectively, the “Agreement”) reflect the terms and conditions agreed upon between you the “Client”, (herein referred to as “Client”) and MedSquared, LLC. (herein referred to as “Service Provider”) regarding the services identified on the order form. References herein to an order form or Statement of Work, mean either a new order form, a renewal order form or Statement of Work. If a conflict exists between an order form, a new order form, the Statement of Work, or this Agreement, this Master Online Marketing Services Agreement and an order form, will control followed by the Statement of Work.
(“Client“, and together with Service Provider, shall be deemed the “Parties“, and each, a “Party“) as the case may be.
WHEREAS, Service Provider is in the business of providing online marketing services, including social media marketing and management, influencer marketing, and reputation management.
WHEREAS, Client wishes to retain Service Provider to provide the services set forth in the attached Statement of Work (the “Services“).
NOW, THEREFORE, in consideration of the mutual covenants, terms, and conditions set forth herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:
Client and its licensors are, and shall remain, the sole and exclusive owner of all right, title, and interest in and to all Client Materials, including any and all trade secrets, trademarks, domain names, original works of authorship and related copyrights, and any other intangible property in which any person holds proprietary rights, title, interests, or protections, however arising, pursuant to the laws of the US and throughout the world (collectively “Intellectual Property“) therein. This shall include all applications, registrations, renewals, issues, reissues, extensions, divisions, and continuations in connection with any of the foregoing and the goodwill connected with the use of and symbolized by any of the foregoing.

MedSquared collects only the following types of personal and non-personal information that are necessary for our legitimate business purposes, and maintains appropriate safeguards to ensure the security, integrity and privacy of this information.
MedSquared collects contact and related information from our customers and prospective customers who request information or services from MedSquared or who register for Software and Services. Customers can opt out of providing this additional information by not entering it when asked.
All financial and billing information that we collect is used solely to check the qualifications of prospective customers and to bill for Software and Services. This billing information is not used by MedSquared for marketing or promotional purposes.
MedSquared uses the information that we collect for business purposes, including responding to requests for information about Software and Services, providing access to certain services, and for registration purposes. We may also use the information to contact customers to further discuss customer interest in our company, our products and services, and to send information regarding our company or partners, such as promotions and events.
Customers will use our Software and the Website to host data and information relating to their business (“Data”). MedSquared will not review, share, distribute, print, or reference any such Data except as provided in the MedSquared Master Subscription Agreement, or as may be required by law. Individual records may at times be viewed or accessed only for the purpose of resolving a problem, support issue, suspected violation of the Master Subscription Agreement, or as may be required by law. Of course, customers are responsible for maintaining the confidentiality and security of their user registration and password.
By submitting your information to us and by using the Software and Services or the Website, you are consenting to our use of your data as described herein. If you do not consent, you should not register with MedSquared, not use the Software and Services, and not use the Website.
Certain non-personal information about site visits is recorded by the standard operation of the Internet servers on which this website is hosted. Non-personally identifiable information (“Aggregate Data”) may be for our business purposes, including but not limited to improvement of the design and content of the WebSite or to personalize your experience on our Website. This Aggregate Data may be shared with MedSquared’s related entities, advertisers, partners and/or other third party vendors. MedSquared shall own such Aggregate Data.

Like many standard website servers, our web servers use log files. Log files include internet protocol (IP) addresses, browser type, internet service provider (ISP), referring/exit pages, platform type, date/time stamp and number of clicks. Log files are used to analyze trends, administer the site, track aggregated users’ movement and gather broad demographic information. IP addresses, etc. are not linked to personally identifiable information.
MedSquared does not sell, share, or distribute any private or personal information to any third parties.
We may however employ other companies and individuals to perform functions on our behalf. Examples include registering users, processing credit card payments, sending postal mail and email, analyzing data, and providing customer service. To perform these functions, these companies and individuals may have access to information needed to perform their functions, but may not use it for other purposes.
As we continue to develop our business, we might sell or buy assets. In such transactions, customer information may be transferred to: (i) a parent or subsidiary; (ii) an acquirer of assets; or (iii) a successor by merger.
We may also release information when we believe release is appropriate to comply with the law; enforce MedSquared Master Subscription Agreement and other agreements; or to protect the rights, property, or safety of MedSquared, our users, or others. This includes exchanging information with other companies and organizations for fraud protection.
Customers who have provided contact information may e-mail MedSquared at firstname.lastname@example.org to update their contact or other information.
Customers may also update or change registration information by editing the Account and Privileges page of the Website or by contacting MedSquared at email@example.com or 617-903-0210.
We have security measures in place to help protect against the loss, misuse, and alteration of the data under our control. When the website is accessed using Internet Explorer version 11 or higher, or a comparable internet browser, Secure Socket Layer (SSL) technology protects information using both server authentication and data encryption to help ensure that the data are safe, secure, and available only to you.
Users who have provided contact information may occasionally receive email updates or information from MedSquared. In order to respect our customers’ privacy, we present the option to decline these types of communications. Please see the Choice/Opt-out section below.
